These Terms & Conditions (“Terms”) govern your access to and use of the website https://code1.dev/ (the “Website”, “Site”) by the Users (“Users”, “You”, “Your”) and any services offered by (ITVET Technologies Pvt Ltd) (“Code1 Tech Systems”, “Company”, “we”, “us”, “our”, “it”) (the “Services”). By using or accessing the Site or the Services, you agree, represent, and warrant that you are bound by these Terms. If you do not agree, please do not use the Site or obtain access to our Services.

2. Services

ITVET Technologies Pvt Ltd provides a range of services on its Website, including, but not limited to, engineering staff augmentation, on-demand engineering, contract-to-hire, tech team building, and related IT staffing and consultancy services. Interact with our team members and receive the benefits of our services, including but not limited to payment processing, transaction handling, and customer service. Usage of the Site, forms available on the Site, contact requests, and engagements with our team are subject to these Terms.

3. Eligibility

You represent and warrant that you are at least the age of majority in the jurisdiction in which you reside and that you have the legal power to enter into a contract with ITVET Technologies Pvt Ltd. If you are using the Site/Services on behalf of an entity, you further represent that you have the authority to bind that entity.

4. Registration and Accounts

If you sign up for an account, submit an enquiry, or use any interactive features available on the Site, you agree to (a) provide accurate, current, and complete information; (b) keep your account credentials confidential; and (c) accept responsibility for all activities that occur under your account.

We will require your personal information, including but not limited to your name, date of birth, address, email ID, phone number, location, and card details. The use of all such personal information you provide to us (including during the registration process) is governed by our Privacy Policy. By signing up for an account, you are bound by these Terms, or by otherwise accessing the Services provided by ITVET Technologies Pvt Ltd. If you do not accept these Terms, you shall not open an account to avail Our Services.

6. Client Engagements

When you engage ITVET Technologies Pvt Ltd for its Services, you may need to execute separate service/engagement agreements with ITVET Technologies Pvt Ltd as and when required from time to time by ITVET Technologies Pvt Ltd. That Contract will outline scope, deliverables, timeline, fees, termination rights, confidentiality, intellectual property rights, warranties, and liabilities. These Terms are in addition to and supplementary to such agreement(s).

7. Fees and Payment

Fees and payment terms for Services will be set out in the agreement(s), which will be executed as and when required by ITVET Technologies Pvt Ltd. Unless otherwise specified, all fees are in USD/₹ (Indian Rupees or US Dollar) (as applicable) and are exclusive of any taxes, duties, or levies. You agree to pay on time and to reimburse ITVET Technologies Pvt Ltd for any taxes it is legally required to pay in connection with your engagement.

8. Intellectual Property

You acknowledge that by accessing Our Website and/or availing the Services, you are only granted a limited right to access and use Our Website and/or avail the Services in accordance with these terms. All ownership rights directly or indirectly related to the use of the Website remain solely with the Company.

You further agree that ITVET Technologies Pvt Ltd retains all rights, title, and interest in and to the Website and/or the Services, including intellectual property rights related thereto, including, but not limited to, all technology, documentation, content, service deliverables, pictures, or any other content available on the Website. It also includes any modifications, derivative works, updates, or improvements developed in relation to these materials. Such materials may include text, graphics, images, photographs, illustrations, designs, questionnaires, logos, software elements, and other proprietary content (collectively referred to as the “Intellectual Properties”), including any feedback provided by You.

It is strictly forbidden to copy, download, or make any changes to the Platform content or any related content available on associated social media channels without obtaining prior written permission from ITVET Technologies Pvt Ltd. Except where otherwise indicated, these Terms do not grant you any other rights, licenses, or permissions regarding the Intellectual Property.

In addition, the trademarks, logos, brand names, and other distinctive identifiers associated with ITVET Technologies Pvt Ltd are protected intellectual property. If you wish to use any of Our Intellectual Properties, you must first obtain prior written consent from Us, and you must acknowledge that the trademark belongs to Us even after consent is granted to you. The Company retains complete discretion to grant or deny such permission and may impose conditions on the permitted use.

You may not use any of the Company’s trademarks as part of your own trademarks/branding. In addition, the Company’s trademarks may not be used on (1) anything outside of the Company, except with express written permission of the Company; (2) any activity that is not associated with the Company; and (3) in any manner that can create confusion or cause someone to misunderstand or believe that you are somehow endorsed, partnered or connected with ITVET Technologies Pvt Ltd. The use of the Company’s trademarks cannot harm or negatively impact the Company’s reputation or its information, products and/or services, the Company’s website, or mobile apps.

9. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other (“Confidential Information”) and to use it only for the purposes of the engagement. Confidential Information does not include information that is (a) already in the public domain (b) legally required to be disclosed (c) independently developed without reference to the other party’s Confidential Information. A party may disclose the Confidential Information of the other party if required by law, but only after it notifies the other party (if legally permissible) to enable the other party to seek a protective order.

10. Limitations of Liability & Disclaimer of Warranties

Under no circumstances shall the Company be held liable to the Customer, whether arising from contract, tort (including negligence), otherwise, for any indirect, special, incidental, exemplary, punitive or consequential damages that may result from the use of, or inability to use, the Services provided under these Terms. This limitation of liability shall apply even if You have been informed of the possibility that such damages may occur.

The Company’s total cumulative liability for any direct damages arising out of or related to the use of the Services shall, in all circumstances, be limited to the total amount actually paid by You, for availing the specific Services, if any, giving rise to the claim.

11. Disclaimer of Warranty

To the fullest extent permitted under applicable law, You agree to the following terms regarding the use of the Services:

To the maximum extent permitted by law, We, along with our affiliates, directors, officers, employees, licensors, distributors, suppliers, agents, resellers, owners, and operators, expressly disclaim all warranties of any kind, whether express or implied.

We make no representations or warranties regarding the accuracy, reliability, or completeness of the Website or the Services. Accordingly, we shall not be responsible or liable for:

The Company shall not be a party to, or in any way responsible for, monitoring or managing any transaction between You and any third-party service provider. We also do not warrant that the servers or infrastructure used to provide the Services will be free from errors, viruses, bugs, or other harmful components. You acknowledge that it is Your responsibility to implement appropriate safeguards and security measures to protect Your systems and data against such risks.

12. Termination

We reserve the right to suspend or terminate your access to all or any part of the Services at any time, with or without cause, and with or without prior notice, and such termination may take effect immediately. We shall process payments for the Services requested through the Website. However, We do not control and shall not be responsible for any additional charges, fees, or deductions imposed by the user’s bank, payment provider, or financial institution in connection with the transaction, and We expressly disclaim any liability arising from such charges.

13. Governing Law & Dispute Resolution

All disputes arising out of or in connection with these Terms along with any agreement, if executed, shall be governed by and construed in accordance with the laws of India, and the courts situated at Jaipur only shall have exclusive jurisdiction. The prevailing party is entitled to recover its costs and legal fees.

14. Changes to Terms

We reserve the right to change, modify, add, or remove portions of this Privacy Policy at any time for any reason at our absolute and sole discretion. You can access the latest version of this Privacy Policy at any given time on our website and it shall be your responsibility to stay updated on any changes to this Privacy Policy. • You may not assign or transfer your rights under these Terms without the express written consent of ITVET Technologies Pvt Ltd. You acknowledge that ITVET Technologies Pvt Ltd shall have the right to assign its rights freely, without your prior consent.
• These Terms, together with any executed agreement and the Engagement Contract, constitute the entire agreement between you and Code1 Tech Systems relating to the subject matter hereof.
